1. Introduction

Welcome to Wakkt! These Terms and Conditions ("Terms") govern your access to and use of the Wakkt platform, including our mobile app, desktop app, and admin dashboard (collectively, the "Services"). By using Wakkt, you agree to these Terms. If you do not agree, please refrain from using our Services.

2. Definitions

"Employee": A user who is invited by their organization to access Wakkt for time tracking, attendance, and related functionalities.
"Admin": A user with administrative access to configure company settings, manage employees, and view reports.
"Company": The organization that subscribes to Wakkt to manage its workforce.
"We/Us/Our": Refers to Wakkt and its affiliates.

3. Use of Services

3.1 Eligibility

You must be at least 18 years old or meet your local legal age of majority to use Wakkt.
Employees must use Wakkt under the invitation or authorization of their company.

3.2 Account Responsibilities

Users are responsible for maintaining the confidentiality of their login credentials.
Users must ensure that all information provided to Wakkt is accurate, complete, and up-to-date.

3.3 Prohibited Activities

You agree not to:

Use Wakkt for unlawful or fraudulent purposes.
Interfere with the security or performance of the Services.
Share or misuse company codes or sensitive information.
Attempt to reverse engineer the software or access it to build a competitive product.

4. Company Responsibilities

Companies using Wakkt agree to:

Ensure compliance with local employment and data privacy laws.
Configure settings, including time off policies, geofencing, and employee requirements, in line with their organizational policies.
Notify employees of features like location tracking, Wi-Fi monitoring, and attendance logging.
Obtain necessary consents from employees for data collection where required by law.

5. Data Collection and Privacy

Your use of Wakkt is governed by our Privacy Policy. By using Wakkt, you consent to the collection, storage, and processing of data as outlined in the Privacy Policy.

5.1 Employee Location and Wi-Fi Monitoring

Location and Wi-Fi data may be collected to ensure accurate attendance tracking and adherence to company policies.
Employees have the right to opt out of certain features, as outlined in the Privacy Policy, though this may limit app functionality.

6. Payments, Subscriptions, and Refunds

Fees: Companies are responsible for paying subscription fees as per the plan selected. Fees are billed in advance on a recurring basis (monthly or annually).
Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least 24 hours before the renewal date.
Refunds: All fees paid are non-refundable, except as required by applicable law. There are no refunds or credits for partially used periods.
Taxes: You are responsible for any applicable taxes, levies, or duties imposed by taxing authorities.
Suspension: Non-payment may result in immediate suspension or termination of access to Wakkt Services.

7. Intellectual Property

All content, trademarks, software code, and intellectual property associated with Wakkt are owned by us or our licensors.
Users are granted a limited, non-exclusive, non-transferable, and revocable license to use Wakkt for its intended purpose.

8. Limitations of Liability

"As-Is" Service: Wakkt is provided "as-is" and "as available" without warranties of any kind, express or implied.
No Liability for Indirect Damages: To the maximum extent permitted by law, Wakkt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Liability Cap: In no event shall Wakkt's aggregate liability for all claims relating to the Services exceed the amount paid by you to Wakkt in the twelve (12) months immediately preceding the event giving rise to the claim.
Disputes: Wakkt will not be held responsible for legal disputes between companies and employees arising from the use of our platform (e.g., wage disputes or attendance discrepancies).

9. Termination

We reserve the right to suspend or terminate user access immediately, without prior notice or liability, if:

These Terms are violated.
Unauthorized access or misuse of the Services occurs.
We decide to discontinue the Service.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be communicated via the app or email. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by the laws of Jordan. Any disputes arising from these Terms will be resolved in the courts of Jordan.

12. Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, war, terrorism, or widespread internet outages.
